Do I need to submit a tax return as a sole proprietor?
Yes. All individuals earning above the tax threshold (R95,750 for under-65s) must submit an annual income tax return to SARS. As a sole proprietor, your business income is included in your personal tax return.
What is provisional tax and do I need to pay it?
Provisional tax is an advance payment of your annual income tax, paid in two instalments. If you earn income other than a salary (e.g. from a business), you are generally a provisional taxpayer.
How do I get a Tax Clearance Certificate?
A "Good Standing" confirmation on SARS eFiling confirms your tax affairs are in order. ZAR Business can assist you to obtain this quickly — usually within 1–2 business days.
When must I register for VAT?
VAT registration becomes compulsory once your taxable turnover exceeds R1 million in any consecutive 12-month period. Voluntary registration is possible from R50,000.
What happens if I miss a SARS deadline?
Missing SARS deadlines results in penalties and interest. ZAR Business tracks all your deadlines proactively — so you're never late.
What accounting software do you use?
We work with Pastel, Xero, Sage Business Cloud and QuickBooks. We advise on the best platform for your business and provide training where needed.
How often will I receive management accounts?
Management accounts are prepared monthly within 15 days of month-end, giving you a current financial picture for informed decision-making.
Do you provide annual financial statements?
Yes. We prepare annual financial statements in compliance with IFRS for SMEs or GAAP. These are required for your corporate tax return and are included in our packages.
How do I send you my documents?
Via email, WhatsApp, Google Drive, Dropbox or direct bank feeds to your accounting software. We make document sharing as easy as possible.
What does your payroll service include?
Monthly payslips, PAYE/UIF/SDL calculations and submissions, leave management, IRP5/IT3(a) certificates and the annual EMP501 reconciliation with SARS.
How quickly can you set up payroll?
Typically within 3–5 business days, including PAYE/UIF/SDL registration with SARS if you're a new employer.
Do you manage leave records?
Yes — leave records and basic HR administration are included in our payroll service. For complex HR needs, we can refer you to trusted HR specialists.
How long does company registration take?
CIPC company registration typically takes 5–10 business days. We handle everything — name reservation, MOI preparation and CIPC submission.
What type of company should I register?
The most common structure for SMEs is a Private Company (Pty) Ltd. We offer a free consultation to advise on the most tax-efficient and appropriate structure for your needs.
What are CIPC annual returns?
All companies must file an Annual Return within 30 business days of their anniversary. Failure leads to de-registration. ZAR Business manages this automatically for all clients.

Common Franchise Questions
Do I need to be a CA(SA) to qualify?
No. While accounting qualifications are required, you don't need to be a CA(SA). A National Diploma or B.Compt in accounting is sufficient. SAIPA or IAC membership is an advantage. We provide full technical training and back-office support.
What does the monthly royalty cover?
The 8% monthly royalty covers ongoing use of the brand, access to all software licences, national marketing contributions, technical support, CPD training and your dedicated franchise support manager. It's an investment in continued growth.
How long does the application process take?
From application to signing typically takes 2–4 weeks. After your discovery call and due diligence, we move quickly to get your franchise set up. The full training and launch process takes a further 3–4 weeks.
Can I run the franchise from home initially?
Yes — the Starter package is specifically designed for home-based operation. As your client base grows, you can transition to a commercial office. Many successful franchisees start from home and expand within 12–18 months.
Are territories truly exclusive?
Yes. Your territory is legally protected in the Franchise Agreement. No other ZAR Business franchise may operate or actively market within your defined territory boundary. Territories are mapped by suburb, town or municipal ward depending on density.
What kind of income can I realistically expect?
Income depends on client volumes and service mix. With 30 SME clients on the R1,999/month package, monthly turnover exceeds R60,000. Most franchisees break even within 6–9 months and achieve full profitability within 12–18 months. Detailed financial projections are provided during the discovery process.

MUTUAL NON-DISCLOSURE AGREEMENT
Reference: ZAR-FRANCHISE-NDA-2025  |  Governed by the Laws of the Republic of South Africa
1. PARTIES

This Non-Disclosure Agreement ("Agreement") is entered into between ZAR Business (Pty) Ltd, a company duly registered and incorporated in accordance with the laws of the Republic of South Africa, with registration number [XXXXXXXX/XX] ("Disclosing Party" or "ZAR Business"), and the individual or entity completing and signing this Agreement ("Receiving Party" or "Prospective Franchisee").

Both parties are referred to collectively as the "Parties."

2. PURPOSE

The Parties wish to explore a potential franchise relationship whereby ZAR Business may grant the Receiving Party the right to operate a ZAR Business franchise within a defined territory in South Africa ("Proposed Transaction"). In connection with the Proposed Transaction, it may be necessary for ZAR Business to disclose to the Receiving Party certain confidential, proprietary and commercially sensitive information.

This Agreement sets out the terms upon which such Confidential Information shall be disclosed and received, and governs the Receiving Party's obligations regarding such information.

3. DEFINITION OF CONFIDENTIAL INFORMATION

For the purposes of this Agreement, "Confidential Information" shall mean all information disclosed by ZAR Business to the Receiving Party, whether disclosed orally, in writing, electronically or by any other means, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to:

  • Franchise investment structures, fees, royalty rates and pricing models
  • Business operations manuals, systems, processes and methodologies
  • Client lists, databases and contact information
  • Financial information, projections, profit and loss data and forecasts
  • Marketing strategies, materials, campaigns and digital assets
  • Software systems, technology platforms and IT infrastructure details
  • Training materials, course content and internal documentation
  • Territory mapping data, expansion plans and growth strategies
  • Supplier, partner and third-party contractual arrangements
  • Any other commercially sensitive or proprietary information relating to the ZAR Business franchise system
4. OBLIGATIONS OF THE RECEIVING PARTY

The Receiving Party agrees and undertakes that it shall:

  • Keep all Confidential Information strictly confidential and not disclose it to any third party without the prior written consent of ZAR Business
  • Use the Confidential Information solely for the purpose of evaluating the Proposed Transaction and for no other purpose whatsoever
  • Not copy, reproduce, distribute, publish or otherwise disseminate any Confidential Information in whole or in part
  • Protect the Confidential Information with at least the same degree of care used to protect its own confidential information, but in no event with less than reasonable care
  • Immediately notify ZAR Business in writing upon becoming aware of any unauthorised disclosure or use of Confidential Information
  • Not use the Confidential Information to compete with ZAR Business, solicit clients or employees of ZAR Business, or to develop a competing franchise or business model
5. EXCLUSIONS FROM CONFIDENTIALITY

The obligations of confidentiality shall not apply to information that:

  • Is or becomes publicly available through no fault of the Receiving Party
  • Was already known to the Receiving Party prior to disclosure as evidenced by written records
  • Is independently developed by the Receiving Party without use of Confidential Information
  • Is required to be disclosed by applicable law, court order or regulatory requirement, provided that ZAR Business is given prior written notice and a reasonable opportunity to seek a protective order
6. INTELLECTUAL PROPERTY

Nothing in this Agreement shall be construed as granting the Receiving Party any licence, right, title or interest in or to any Confidential Information, intellectual property, trade marks, trade names, logos or brand assets belonging to ZAR Business. All intellectual property rights vest exclusively in ZAR Business.

7. RETURN OR DESTRUCTION OF INFORMATION

Upon request by ZAR Business, or upon termination of the evaluation process, the Receiving Party shall promptly return to ZAR Business or destroy (and certify the destruction of) all Confidential Information and any copies, extracts or derivative works thereof, in whatever form or medium.

8. TERM AND DURATION

This Agreement shall take effect on the date of signing and shall remain in force for a period of five (5) years from that date, unless terminated earlier by mutual written agreement of the Parties. The confidentiality obligations in respect of any Confidential Information disclosed during the term shall survive the expiration or termination of this Agreement for a further period of five (5) years.

9. REMEDIES

The Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm to ZAR Business for which monetary damages would be an inadequate remedy. Accordingly, ZAR Business shall be entitled to seek injunctive relief, specific performance and other equitable remedies in addition to all other remedies available at law, without the need to post a bond or other security.

10. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. The Parties irrevocably submit to the exclusive jurisdiction of the South African courts in respect of any dispute, claim or proceedings arising out of or in connection with this Agreement.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior discussions, understandings and agreements relating thereto. This Agreement may only be amended by a written instrument duly signed by both Parties.

12. PROTECTION OF PERSONAL INFORMATION

Both Parties agree to comply with the Protection of Personal Information Act 4 of 2013 (POPIA) and any applicable data protection legislation in the Republic of South Africa in connection with any personal information processed in terms of this Agreement.
